General conditions of Sales

1. Identity of the publisher and scope of application

These General Terms and Conditions of Sale apply to the products and services offered by Stone Rank Kft. exploiting the solution Ovirank.

These terms and conditions govern the sale of:

• Ovirank SaaS software for SEO auditing, AI citation tracking, content generation, and other analytics;
• SEO agency services, including putting in contact with freelancers, content management, content management, optimization, link acquisition and backlink purchases in third-party media.

They are mainly aimed at professional B2B customers. However, individuals can subscribe to SaaS under the conditions specified below.

2. Definitions

• Customer: any natural or legal person buying SaaS and/or agency services.
• SaaS: the Ovirank platform accessible online by subscription.
• Credits: consumption units triggered by the use of SaaS and paid features.
• Agency services: services on quotation relating to SEO advice, content, networking, netlinking, networking, networking.
• Backlinks: placement of links in third party sites, media and partner blogs.

3. Account creation and access

SaaS registration is free with limited features. Access to paid functions requires an active subscription and prior payment via Stripe. The Customer undertakes to provide accurate information, including the full billing address, country and, where applicable, a valid VAT number.

4. Offers, prices and quotes

Prices are expressed in EUR and, unless otherwise stated, excluding taxes. Offers and prices may change.

• SaaS: monthly or annual subscription packages displayed on the site at the time of subscription.
• Agency: price on written quotation validated by email by the Customer. Quotes can provide for payments to be spread over several months to smooth the budget.

Stone Rank Kft. may change its rates and/or plans. Subscribed Customers will be notified by email with reasonable notice. In case of disagreement, they can cancel before the new rates take effect.

5. Payment and invoicing

5.1 SaaS - Stripe

Subscription payment is made via Stripe before using paid features. Stripe applies industrial-grade security measures, including SSL encryption and PCI-DSS compliance. Renewal is tacit at each due date, unless cancelled before renewal.

5.2 Agency - bank transfer

Agency: validation of the quote by email, issuance of the invoice, payment due within 7 days.
Late payment penalties: the key rate of the Central Bank of Hungary increased by 8 percent per year.
Lump sum recovery compensation: 40 EUR for B2B customers established in France.

5.3 VAT and tax information

• Hungary: 27 percent for HU customers when applicable.
• EU B2B with valid VAT: reverse charge - reverse charge mechanism - code EUFAD37 - no VAT charged.
• EU B2C: application of VAT according to the regime in force. As long as the threshold of 10,000 EUR in EU B2C sales is not exceeded, Hungarian VAT at 27 percent by default. Beyond that, OSS regime or local registration as the case may be.
• Outside the EU: service outside the scope of Hungarian VAT - TEHK.

All invoices are issued by Stone Rank Kft. registered in Hungary.

6. Delivery and fulfilment

SaaS: access as soon as the subscription is activated and the account is created. Credits are consumed during the effective use of the functionalities.
Agency: schedule and deliverables specified in the quotation or project plan. The Customer undertakes to provide the necessary information and validations.

7. Right of withdrawal and refunds

7.1 SaaS

• Monthly: not refundable. Since the credits are activated immediately, there is no partial or retroactive refund.
• Yearly: possibility of reimbursement within 30 days depending on the subscription, up to 11 months out of 12, the first month being deemed consumed.
• Digital content: in the event of immediate execution with express consent, the Customer acknowledges losing his right of withdrawal for the services already performed.

7.2 Agency

Agency services are not refundable as long as they are incurred after validation of the estimate. Any cancellation by the Customer gives rise to the right to payment of the services provided and the costs incurred.

8. Obligations of the Customer

The Customer guarantees the accuracy of the information provided, in particular the billing address and the VAT number. He undertakes to comply with applicable laws, not to attempt to alter the service and not to use SaaS for prohibited activities. For the agency, the Client cooperates in good faith, provides access, content, validations and arbitrations within timeframes compatible with the calendar.

9. Intellectual property - licenses

The Ovirank software, its interface, algorithms, algorithms, database and all content provided by Stone Rank Kft. are protected by copyright and intellectual property rights.

• SaaS license: non-exclusive, non-transferable, for the duration of the subscription and for the sole internal needs of the Customer.
• Brand: Ovirank is a trademark registered with the INPI no. 5120361. Unauthorized use is prohibited.
• Agency services: unless otherwise stipulated, the deliverables remain the property of Stone Rank Kft. until full payment. The rights of use or reproduction are transferred upon full payment, in accordance with the estimate.

10. Backlink purchases and placements

When the Customer orders backlinks and/or link inserts, he acknowledges that:

• the locations depend on third party publishers, who may change their policies, pages, and meshes;
• the publication deadlines and the durability of the links cannot be guaranteed;
• SEO recommendations are subject to search engine algorithms and the editorial practices of third parties.
  Stone Rank Kft. makes every effort to target quality sources but does not guarantee specific positioning or minimal traffic.

11. Limitation of liability

SEO and visibility in AI depend on many external factors. Stone Rank Kft. gives no guarantee of results. Under no circumstances can Stone Rank Kft. be held responsible for indirect damages, operating losses, loss of turnover, loss of data, or damage to the image.
Direct liability, all causes combined, is limited to the total amount paid by the Customer during last three months preceding the generating event.

12. Maintenance, availability and support

Stone Rank Kft. strives to ensure high availability of SaaS. Planned maintenance can be carried out. Support is provided via the Contact page, with a response objective within 24 working hours. No level of service is guaranteed, unless there is a specific agreement.

13. Personal data and cookies

Stone Rank Kft. acts as the data controller for data associated with accounts, billing, support and use of SaaS. Technical subcontractors may include Stripe, Számlázz.hu, Számlabridge, Notion, Webflow, and analytics tools.
The full terms and conditions can be found in the Confidentiality Policy And the Cookies Policy accessible from the site. The Customer undertakes to comply with the regulations applicable to its own treatments, including the RGPD where applicable.

14. Duration, Termination and Suspension

• SaaS: the subscription is renewed tacitly at each expiration date. The Customer may cancel at any time, with effect from the next due date. In the event of non-payment or violation of the GTC, Stone Rank Kft. may suspend access or terminate automatically after notification that has remained without effect.
• Agency: the terms of cancellation are defined in the quotation. The services provided and the costs incurred remain due.

15. Force majeure

None of the parties can be held responsible for a breach in the event of force majeure within the meaning of applicable law, including in particular major infrastructure failures, cyberattacks, disasters, administrative or judicial decisions, administrative or judicial decisions, external social conflicts.

16. Changes to the terms and conditions

Stone Rank Kft. may change these terms and conditions. The Customer will be notified by email in the event of a substantial change, with a reasonable period of notice. Continued use after entry into force constitutes acceptance.

17. Applicable law - jurisdiction

These terms and conditions are governed by the Hungarian law. In the event of a dispute, the competent courts are those of budapest.
For the sake of good administration for French-speaking customers, and when required by law, subsidiary jurisdiction may be recognized by the competent French courts. The parties undertake to attempt a prior amicable resolution.
